Terms of Service

The agreement between you and Datamart Inc. for the use of Drystamp.

Last updated 20 September 2026. These terms apply to drystamp.com and the Drystamp application.

1. Who these terms are with

Drystamp is operated by Datamart Inc. (“we”, “us”), a company incorporated in California, United States. By creating an account or using the service you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and “you” means that company.

2. What Drystamp is, and what it is not

In shortIt is a record-keeping tool. It is not your accountant, and it does not file anything.

Drystamp helps you capture business expenses, identifies elements that tax rules require you to record, and produces exports you can hand to a preparer. It explains rules and cites reference material.

Drystamp does not provide tax, legal, accounting or financial advice. It does not prepare or file tax returns, and it is not a substitute for a CPA, an enrolled agent or an attorney. Answers are generated with AI assistance and may be incomplete or wrong. You are solely responsible for your tax positions, your filings and the accuracy of the information you enter. We are not affiliated with, endorsed by or approved by the Internal Revenue Service.

You should have a qualified professional review anything you intend to rely on.

3. Your account

You must be at least 18 and provide accurate details. You are responsible for keeping your password safe and for everything done under your account. Tell us promptly at info@drystamp.com if you believe it has been used without your permission.

An account owner may invite other people and choose which businesses each of them can reach. If you invite someone, you are responsible for what they do with the access you gave them. Accountant seats are read-only and are provided free of charge.

4. Your content

In shortYour receipts and records stay yours. We only use them to run the service for you.

You keep all rights in the receipts, records and other material you put into Drystamp (“your content”). You grant us a limited licence to host, store, process, transmit and display it for the purpose of providing the service to you, including sending it to the processors listed in our Privacy Policy.

We do not sell your content, and we do not use it to train third-party AI models.

You confirm you have the right to upload what you upload, and that doing so does not break the law or anybody else's rights.

5. Acceptable use

Do not use Drystamp to break the law or to help anybody else do so, including submitting information you know to be false to a tax authority. Do not attempt to gain access to accounts or data that are not yours, probe or disrupt the service, scrape it, resell it, or use it to build a competing product. Do not upload malware, or content you have no right to.

Automated or excessive use that degrades the service for others is not permitted, and plan limits are set out on the pricing page.

6. Plans, trials and payment

In shortSubscriptions renew until you cancel. Cancel any time and you keep what you paid for until the period ends.

Paid plans are billed monthly or yearly in advance, in US dollars, through Stripe. Prices are shown on the pricing page. Payments are processed by Stripe and we never receive or store your card number.

Trials. New accounts may start a free trial. A payment method is required to begin one so the subscription can continue without interruption. You are not charged until the trial ends, and you can cancel before then at no cost.

Renewal. Subscriptions renew automatically for the same period until cancelled. You authorise us to charge your payment method for each renewal.

Cancellation. You can cancel at any time from the Billing screen. Cancellation takes effect at the end of the period you have already paid for; you keep access until then. We do not provide pro-rata refunds for a period already started, except where required by law or at our discretion.

Changing plan. Upgrades and downgrades are prorated by Stripe.

Founding cohort. Where a founding discount is offered, its percentage and the period for which it is held are stated at the point of purchase and on the invoice. After that period the price moves toward the list price on the schedule published at the time you bought. We do not change the terms of a discount you have already been sold.

Failed payment. If a renewal fails we will retry and email you. Your account continues to work during a short grace period before access is limited.

Price changes. We may change list prices. Any change takes effect at your next renewal and we will give you at least 30 days' notice by email. You may cancel before it applies.

Taxes. Prices exclude sales tax, VAT and similar charges, which are added where applicable.

7. Availability

We work to keep Drystamp available but do not promise it will be uninterrupted or error-free. We may change, suspend or withdraw features. Where a change materially reduces what a paid plan provides, we will tell you, and you may cancel and ask for a refund of the unused part of the period you have paid for.

8. Your data on termination

In shortExport before you go. We keep your data for 30 days after cancellation, then delete it.

You can export your records at any time while your account is active, and we recommend doing so before you cancel. After a subscription ends we retain your content for 30 days so you can reactivate or export it, and then delete it. You may ask us to delete it sooner by writing to info@drystamp.com.

We may suspend or close an account that breaches these terms. Where we do so without cause, we will refund the unused part of any period you have paid for.

9. Disclaimers

To the fullest extent permitted by law, Drystamp is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the service will meet your requirements, that its output is accurate or complete, or that using it will produce any particular outcome with any tax authority.

10. Limitation of liability

To the fullest extent permitted by law, neither we nor our suppliers are liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or relating to your use of Drystamp.

Our total aggregate liability arising out of or relating to these terms or the service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) US$100.

In particular, and without limiting the above, we are not liable for any tax, penalty, interest or professional fee you incur as a result of a position taken on a return, whether or not Drystamp was used in preparing the underlying records.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

11. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, your use of the service in breach of these terms, or your violation of law or of a third party's rights.

12. Changes to these terms

We may update these terms. For material changes we will give notice by email or in the application at least 30 days before they take effect, and the date at the top of this page will change. Continuing to use Drystamp after that means you accept the updated terms. If you do not, you may cancel.

13. Governing law and disputes

These terms are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. The state and federal courts located in California have exclusive jurisdiction, and you and we consent to their jurisdiction and venue. Nothing here deprives a consumer of the protection of mandatory local law.

Please write to us first. Most disputes are faster to settle by email than by filing.

14. General

These terms, together with the Privacy Policy, are the whole agreement between us about Drystamp. If a provision is held unenforceable, the rest continues to apply. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of the business.
